Practice
Eden Quainton is a partner based in the Paris office. His practice focuses on corporate finance transactions and cross-border mergers and acquisitions.
Mr. Quainton has played the lead role in many corporate finance transactions including privatizations, initial public offerings, sovereign debt financings, Rule 144A and Regulation S primary and secondary equity, debt and derivative securities offerings, and has advised numerous companies in their ongoing reporting and compliance obligations. He regularly works on public and private mergers & acquisitions transactions frequently involving cross-border aspects. He also frequently advises parties on cross-border joint ventures and strategic alliances in infrastructure financings, manufacturing projects, and natural resource development. In addition, Mr. Quainton has been involved in ICC arbitrations and the preparation of litigation strategies for issuers with respect to labor matters, contractual disputes, securities fraud claims and government investigations.
Practice Highlights
- Advising on some of the largest global offerings in the telecommunications, infrastructure, aviation and defense sectors and some of the most innovative offerings in the telecoms, internet and media sectors.
- Recently lead counsel in France for a complex reverse triangular merger involving a Paris and New York dual listed company acquiring a US business software provider.
- Representing dealer managers, acquirors and targets in numerous public and private, cross-border transactions involving French, US, Spanish, UK and Russian entities.
Mr. Quainton has lectured on US securities laws at the Ecole de Formation du Barreau de Paris and has published a variety of articles in Le Monde, Les Echos, La Tribune, Le Nouvel Economiste, among others. He was the author of the PLC’s survey of French capital markets in 2004 and has been listed in the PLC Equity Capital Markets Handbook as a ‘Recommended Lawyer’ in the French market.
Mr. Quainton is admitted to practice in France and New York.
