Practice

Mr. Seiden, a partner in the Firm’s International Corporate Department, has extensive experience in domestic and transnational corporate and commercial transactions, with an emphasis on private equity; joint ventures; M&A; and entertainment, media and advertising industry transactions.

Mr. Seiden’s corporate experience includes structuring, negotiating and documenting acquisitions and divestitures for private equity and strategic buyers and sellers; the formation and operation of joint ventures, corporations, LLCs and partnerships; executive employment agreements; venture capital; private placements of debt and equity; and structured finance.

Mr. Seiden’s commercial experience includes outsourcing, rights aggregation and supply agreements; strategic alliances; general commercial advice; and agreements for the licensing, development, production, distribution and finance of intellectual property assets.

Mr. Seiden oversees the Firm’s activities in entertainment and advertising and the Firm’s Intellectual Property practice group.

Mr. Seiden has represented clients in diverse industry sectors, including: manufacturing; consumer and industrial products; entertainment and media; advertising; internet tools; computer software; electronic games; alternative energy; hotels and resorts; commodities; and financial services.

Mr. Seiden has previously served as a senior business and legal affairs executive in the theatrical motion picture division of a major motion picture studio and as the general counsel of a developer, publisher and distributor of electronic games. Mr. Seiden has been active in environmental conservation and served as a member of the Board of Directors of the Los Angeles League of Conservation Voters.

He is admitted to the Bars of the States of New York and California.

Representative Transactions

  • Represented a joint venture in restructuring the venture and the sale of a minority interest to a private equity buyer.
  • Represented buyers in the acquisition of manufacturing, technology and advertising sales companies.
  • Represented advertising networks in advertising rights aggregation, strategic partnerships, digital technology licensing, content acquisition, the development and licensing of new advertising audience measurement tools, technology licenses and agreements with advertisers and advertising agencies.
  • Represented NERC training company in content licensing and simulator co-development.
  • Represented financial investors in the acquisition of pharma royalty streams and in the rated securitization of those royalty streams.
  • Represented an internet tools company in its initial public offering and related NASDAQ listing.
  • Represented an electronic game developer in content acquisition (including licensing of cartoon characters and software tools), work-for-hire product development and domestic and international distribution.
