Curtis Client Granted Asylum in Pro Bono Case

June 25, 2009

Curtis attorneys provided pro bono assistance to Rimma Yunusovna Kipkeeva, an ethnic Karachay and a citizen and native of the Republic of Karachaevo-Cherkessia in the Russian Federation seeking asylum in the United States. Ms. Kipkeeva is an English teacher who feared persecution if forced to return to Karachaevo-Cherkessia or anywhere else in the Russian Federation due to her political activities, her status as a Karachay woman forced into a traditional arranged marriage to an abusive man and her ethnicity. She was granted asylum on June 22, 2009 by the U.S. Department of Homeland Security. Ms. Kipkeeva was referred to Curtis by Human Rights First, a non-profit international human rights organization based in New York and Washington, D.C.

The Curtis team was led by Kristin Konschnik (Associate) and Caroline Teisseire (Associate), under the supervision of Turner Smith (Partner), with support from Catinca Tabacaru (Associate), Olga Beloded (Associate), Josh Brook (Associate) and Larissa Szczupak (Paralegal).

Curtis improved its ranking in the AmLaw 200 survey for the third consecutive year in 2009, climbing 16 spots to 177th in the American Lawyer’s annual poll of top US law firms. Firm revenue increased by 13.6% in 2008 to US$125 million, and profits per partner exceeded the US$1 million mark for the first time in the firm’s history.

Curtis Partner Daniel R. Lenihan had the honor of introducing Donald L. Kohn, Vice Chairman of the Board of Governors of the Federal Reserve System, to a group of 250 Wall Street executives and professionals on Oct. 15. The event was hosted by the Georgetown University Wall Street Alliance, where Mr. Lenihan serves on the Board of Advisors. Mr. Lenihan led Curtis’ representation of the government in two federal loan guarantee programs -- the Air Transportation Stabilization Board and the Emergency Steel Loan Guarantee Board -- both of which Mr. Kohn chaired on behalf of the Federal Reserve. Vice Chairman Kohn spoke on the economic forces which have led to the current liquidity crisis and the measures which the federal government has put in place to restore the normal functioning of the credit markets.

Curtis was featured on Law360.com in an article entitled "Silicon Graphics, Samsung Settle Bankruptcy Appeal" published on August 27, 2008. The article named Curtis as counsel to Silicon Graphics Inc. in an appeal filed by Samsung Electronics Co. Ltd.'s of an order entered by the Bankruptcy Court in favor of the debtor, Silicon Graphics. The key issue on appeal was whether the debtors had assigned certain dynamic random access memory ("DRAM") price-fixing claims to the DRAM liquidating trust pursuant to the terms of the plan of reorganization and liquidating trust agreement. Samsung argued that the DRAM claims at issue were not part of the debtors' original assignment because of an alleged date limitation and that the trustee of the liquidating trust was therefore precluded from asserting those claims against Samsung in a DRAM litigation in the United States District Court for the Northern District of California. Silicon Graphics maintained that the liquidating trust assets were comprised with DRAM claims that arose prior to the alleged date limitation and furthermore that Samsung had no standing to object. On August 26, 2008, the appeal was dismissed pursuant to a stipulation entered into by the parties and approved by United States District Court Judge Loretta Preska. Curtis Attorneys Represent Gordon Brothers and Hilco Joint Venture in Its Successful Bid to Liquidate Certain Assets of Retail Chain Steve & Barry’s

Curtis attorneys recently represented a joint venture comprising Gordon Brothers Retail Partners, LLC and Hilco Merchant Resources, LLC, two industry leaders in the field of monetizing retail assets, in connection with its successful bid to act as the agent to conduct store closing sales at certain Steve and Barry’s locations. New York-based Steve & Barry’s is a leading national casual apparel retailer that offers merchandise at low prices for men, women and children. In early August, Gordon Brothers, Hilco and a newly created affiliate of investment company Bay Harbour Management were approved by the United States Bankruptcy Court for the Southern District of New York to act as the stalking horse bidder to acquire substantially all of the assets of Steve and Barry’s. As stalking horse bidder, Gordon Brothers and Hilco agreed to liquidate all or certain of the inventory from over one hundred of Steve and Barry’s locations. Ultimately, after a competitive auction and a contested sale hearing, the Bankruptcy Court approved the sale of substantially all of the assets of Steve and Barry’s to Bay Harbour, with Hilco and Gordon Brothers to act as agent to liquidate inventory at several of the Steve and Barry’s locations. Curtis was instrumental in providing counsel to both Hilco and Gordon Brothers throughout the sale, auction and Bankruptcy Court process as will as securing Bankruptcy Court approval of the ultimate transaction. Partner Steven Reisman led the Restructuring & Insolvency group, with support provided by associate Cindi Eilbott.


Curtis Attorneys Represent Gordon Brothers in Its Successful Bid to Liquidate Substantially All Assets of Whitehall Jewelers

September 3, 2008

Curtis recently represented Gordon Brothers Retail Partners, LLC in connection with its successful bid to act as a “consultant” to Whitehall Jewelers Holdings, Inc. in connection with Whitehall’s liquidation of substantially all of its assets through going out of business sales at its approximately 350 store locations. Whitehall, originally founded in 1895, was a nationwide specialty retailer of fine jewelry, offering a selection of merchandise including diamonds, gold and precious and semi-precious jewelry and watches. Curtis actively negotiated the terms of the transaction at and prior to a hotly contested auction after which Gordon Brothers was declared to have submitted the highest and best bid. After the auction, despite Gordon Brothers’ “highest and best” bid, Whitehall attempted to go forward with a transaction with a rival bidder. In response, Curtis represented Gordon Brothers in filing an objection to the transaction and presented evidence and argued before the United States Bankruptcy Court for the District of Delaware in favor of Whitehall consummating the transaction with Gordon Brothers. As a result of the contested sale hearing, a compromise was reached whereby Gordon Brothers was added as a member of the joint venture responsible for the liquidation of Whitehall’s assets. Partner Steven Reisman led the Restructuring & Insolvency group, with support provided by Counsel Jerry Bregman and associate Cindi Eilbott; Partner Eileen Matthews led the Corporate Department team and Partner Turner Smith provided key support from the Litigation Department.

Curtis Attorneys Represent Glencore in a Settlement Payable by Century Aluminum Company to Glencore Valued at Approximately $1.82 Billion

Curtis represented Glencore in its recently concluded transaction with Century Aluminum Company involving the unwinding of aluminum hedge contracts for a settlement value of approximately $1.82 billion payable by Century to Glencore. A portion of the settlement value was paid by the issuance to Glencore of Century non-voting preferred stock valued at approximately $1.09 billion which is convertible into 16,000,000 shares of common stock. Partners Matias Vega and Valarie Hing led the corporate department team, with support from associates Musa Abdul-Basser, Oreste Cipolla, Lale Deliveli and Doug Glazer. Tax advice was provided by partners Alan Berlin and Ed Cukier and associate Kristin Konschnik. Litigation advice was provided by partners Eliot Lauer and Jacques Semmelman.

Curtis New York Obtains Court Approval of “Global Settlement Agreement” for NorthWestern Energy

July 14, 2008

Curtis successfully negotiated and obtained the Delaware Bankruptcy Court‘s approval of the global settlement of NorthWestern‘s (NYSE: NWE) long-running and highly complex litigation with Magten Asset Management and Law Debenture Trust Company of New York. The Global Settlement resolves litigation arising out of a pre-bankruptcy restructuring that certain creditors had argued was a fraudulent conveyance, among other claims. The $23 million settlement payment to the plaintiffs is to be funded by a reserve for disputed claims that was created under NorthWestern‘s confirmed Chapter 11 plan and will be effectuated through NorthWestern‘s buy-back of certain of its publicly traded shares held in the reserve. Thus, the Global Settlement did not require NorthWestern to pay any consideration out of the Company, and in fact, resulted in a recovery to NorthWestern of previously incurred legal fees and expenses of $4 million. The settlement was approved over vigorous opposition by an “Ad Hoc Committee” of noteholders, holding claims of approximately $340 million. With the Court approval of the Global Settlement, NorthWestern is substantially closer to resolving the remaining issues in its Chapter 11 case.

With over 1000 members, the BCCG is the second largest Chamber of Commerce in Germany (after the American Chamber of Commerce), the largest British-German economic network organization as well as the largest British Chamber in Continental Europe, established in 1919. Curtis Advises Trigon Agri A/S on $165 Million Share Offering Curtis represented Trigon Agri A/S on an issue and private placement of ordinary shares in a transaction valued at 105 million Euros (approximately $165 million) and resulted in a market capitalization of 194 million Euros (approximately $300 million). Trigon Agri A/S is a Danish agri-business holding, investing in cereals and dairy farms in Russia, Ukraine and the Baltic States, and is admitted to trading at the Nasdaq OMX First North in Stockholm (First North: TAGR).

Curtis was led in this transaction by London partner Eero Rautalahti, supported by Jeffrey Ostrager (New York) in U.S. securities law and investment company issues, and by Marco Blanco (New York) in U.S. tax issues.
