Real Estate

The Firm’s real estate practice includes representations of corporate clients as well as individual investors in the purchase and sale of properties including office buildings, manufacturing plants and hotels, and in commercial leasing, mortgage financings, and construction agreements, including vacant land development, building renovations and space redesign.

The Curtis real estate group works closely with the corporate, bankruptcy, tax and other departments of the Firm and, importantly, with the Firm’s environmental practitioners. The group carries out due diligence assignments in connection with corporate mergers and acquisitions, and debt and equity financings, and assists in the purchase and sale of real property in bankruptcy and probate proceedings. The Firm’s real estate practice has involved property and transactions throughout the United States as well as assignments in Europe, Mexico and Canada with assistance where needed of local counsel.

The Firm’s experience includes:

  • Representation of a corporation in the negotiation and closing of the acquisition of an aluminum smelter facility and related real property located in the State of Washington, with the real property being subject to restrictions and shared services agreements designating substantial rights and obligations among the owners of the seven separate tracts of land encumbered thereby, including the subject parcel, and negotiation of new easements to confer a right of access to the subject parcel.
  • Representation of the purchaser of a landmark townhouse located in New York City in the midst of renovation, with transfer of the construction project to purchaser simultaneous with the closing of title, subject to receipt of lien waivers from all laborers and materialmen and the construction plans, designs, drawings and permits, and the continued representation of the purchaser in connection with completion of the construction, removal of building violations and issuance of the certificate of occupancy.
  • Representation of a private corporation in the negotiation and execution of an option agreement relating to the purchase of real property located in New York City; in the exercise of the option and the acquisition of the real property, including the negotiation of bridge loan financing; and in the negotiation and closing of the sale contract transferring ownership of the real property to a third party.
  • Representation of the seller of a cooperative apartment located in New York City and the commensurate sale of the seller's limited partnership interest allocated to such cooperative apartment.
  • Negotiation and consummation of a contracting relationship with a developer of vacant land in New Jersey, including resolution of wetlands issues, environmental and title questions.
  • Supervision of the development contract negotiated with a major residential developer in New Jersey on behalf of an owner based in Athens, Greece.
  • Sale of New Jersey farmland to a developer and the negotiation of tax deferred exchange under Section 1031(a) of the Internal Revenue Code.
  • Representation of an owner and operator of hotel properties located across the U.S. in settlement agreement matters pertaining to original loan of US$108,000,000, including review and negotiation of foreclosure and deed-in-lieu of foreclosure documentation.
  • Perform due diligence review of leases and title commitments pertaining to purchase of tug and barge assets and jet fuel business in Florida and the Bahamas.
  • Negotiation of architect’s agreement and construction contract (AIA form with riders) regarding the construction of a barn/residence layout at a Virginia estate, including establishment of roads, renovations to appurtenant structures and review of construction methods and plans.
  • Assistance to an investor regarding purchase of several quarter-interests in a Canadian condominium offering and supervising local counsel regarding closing issues and local law compliance.
  • Representation of the seller of farmland of more than 160 acres located in Pennsylvania, in connection with the sale of 71 acres and of 84 acres to two individual purchasers, respectively, in accordance with two separate real estate auctions, subject to crop leases and agricultural conservation zoning agreements.
  • Negotiation of an agreement of sale regarding a warehouse in Jersey City, New Jersey and resolution of environmental issues of prior owner.
  • Negotiation of an agreement of sale of the stock of a corporation owning a New York City residential/commercial building, and supervision of the closing thereof.
  • Representation of the seller of a metal stamping business, together with substantially all of the assets used in the business, including transfer of the fee interest in the real property and facilities located in Wisconsin and in Tennessee, and transfer to purchaser of seller’s leasehold interest in lands owned by a railroad company.
  • Representation of a cargo transportation and warehouse company in connection with negotiation of various warehouse and office leases for spaces ranging in size from 156,000 square feet up to 411,000 square feet, located in the States of Florida, New York, New Jersey and California.
  • Representation of a foreign oil company in the acquisition of a 50% interest in a Texas oil refinery located on 1,600 acres of land and integrated with other oil processing and manufacturing facilities on the larger site.
  • Representation of an English insurance company in the purchase and subsequent sales of high-rise office buildings in New York, Boston and Washington, D.C.
  • Representation of the majority investors in the US$400 million financing of the first privately financed toll road in modern U.S. history.
  • Representation of multifloor tenants in New York high-rise office buildings in the negotiation of leases and subleases.
  • Representation of a public pension fund in connection with the acquisition of shopping centers in Texas as well as an equity-based convertible loan secured by an office building in Los Angeles.
  • Representation of an American university abroad regarding the construction of a new campus including consultation and review of title documents and construction documents.
